Terms of Service

These Terms of Service govern your access to and use of the Syntra Refining Corp. website, digital portals, and related services. Please read these terms carefully before using our services.

Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Syntra Refining Corp. ("Syntra," "we," "us," or "our"), a corporation incorporated under the laws of Nova Scotia, Canada, governing your access to and use of our website, digital portals, online services, and related content (collectively, the "Services").

By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Services.

For Business Users: If you are accessing the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" will refer to both you individually and the entity you represent.

Definitions

For purposes of these Terms, the following definitions apply:

"Content" means all text, graphics, images, data, software, technical documentation, business information, and other materials available through the Services.

"Confidential Information" means proprietary or confidential information disclosed by Syntra, including technical data, business plans, pricing, customer information, and any information designated as confidential.

"User Content" means any information, data, or materials you submit or upload to the Services, including through contact forms, portals, or communications.

"Partner Portals" means restricted-access areas of the Services, including the Observer Portal, Supplier Portal, and any data rooms or secure collaboration platforms.

"Intellectual Property" means patents, copyrights, trademarks, trade secrets, know-how, and other proprietary rights.

Scope of Services

The Services are provided for business-to-business purposes and include:

  • Public website content describing Syntra's business, technology, and operations
  • Contact forms for commercial inquiries, supplier registration, investor relations, and career applications
  • Restricted Partner Portals providing access to technical data, project updates, and confidential information (subject to separate agreements)
  • Communications and updates related to Syntra's operations and services

Important: The Services are provided for informational and business communication purposes only. Access to certain restricted areas may require separate agreements, including non-disclosure agreements (NDAs) or commercial contracts.

Acceptable Use Policy

3.1 Permitted Use

You may use the Services solely for lawful business purposes, including:

  • Researching Syntra's services, technology, and business operations
  • Submitting inquiries related to commercial partnerships, supplier relationships, investor relations, or career opportunities
  • Accessing Partner Portals pursuant to separate agreements
  • Receiving authorized communications and updates

3.2 Prohibited Activities

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Access, attempt to access, or use any portion of the Services for which you lack authorization
  • Interfere with or disrupt the Services, servers, or networks connected to the Services
  • Use automated systems (bots, scrapers, crawlers) to access or extract data from the Services without written permission
  • Reverse engineer, decompile, or attempt to derive source code from the Services
  • Introduce viruses, malware, or other harmful code
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation
  • Transmit spam, unsolicited communications, or fraudulent content
  • Violate confidentiality obligations or misuse Confidential Information
  • Use the Services for competitive intelligence or to develop competing products or services
  • Engage in data mining, harvesting, or extraction without authorization

3.3 Consequences of Violations

Violation of these Terms may result in immediate termination of your access to the Services, legal action, and liability for damages. We reserve the right to investigate suspected violations and cooperate with law enforcement authorities.

User Accounts and Access

4.1 Account Registration

Certain features of the Services, including Partner Portals, may require you to register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities conducted under your account

4.2 Access to Partner Portals

Access to Partner Portals is subject to:

  • Execution of separate agreements, including NDAs or commercial contracts
  • Verification of your identity and authorization
  • Compliance with additional terms and conditions specific to each portal
  • Our sole discretion to grant, limit, or terminate access at any time

4.3 Account Termination

We may suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms, security concerns, or breach of separate agreements.

Intellectual Property Rights

5.1 Syntra's Intellectual Property

All Content, materials, technology, software, and services available through the Services, including text, graphics, logos, trademarks, trade names, designs, technical data, and source code, are owned by or licensed to Syntra and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

The following are trademarks or registered trademarks of Syntra Refining Corp.:

  • SYNTRA and the Syntra logo
  • SynCore™ (digital twin platform)
  • Other product names, service marks, and slogans used in connection with our Services

5.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and view Content for personal or internal business evaluation purposes
  • Download and print limited copies of publicly available materials for internal use only

This license does not permit you to:

  • Modify, reproduce, distribute, or create derivative works from our Content
  • Use our trademarks, logos, or branding without prior written consent
  • Remove copyright notices or proprietary markings
  • Use the Services or Content for commercial purposes without authorization

5.3 User Content

You retain ownership of User Content you submit through the Services. However, by submitting User Content, you grant Syntra a worldwide, non-exclusive, royalty-free license to use, reproduce, store, and process such content solely for the purposes of:

  • Operating and improving the Services
  • Responding to your inquiries and requests
  • Complying with legal obligations

You represent and warrant that you own or have the necessary rights to submit User Content and that it does not violate any third-party rights or applicable laws.

5.4 Feedback and Suggestions

If you provide feedback, suggestions, or ideas regarding the Services or our business, you grant Syntra a perpetual, irrevocable, royalty-free license to use, implement, and commercialize such feedback without obligation or compensation to you.

Confidentiality

Certain areas of the Services, particularly Partner Portals, may provide access to Confidential Information, including:

  • Technical data, process flowsheets, and proprietary methodologies
  • Business plans, financial projections, and strategic information
  • Customer lists, supplier information, and commercial terms
  • Operational data, pilot results, and performance metrics
  • Any information marked or designated as confidential

Confidentiality Obligations

If you receive access to Confidential Information, you agree to:

  • Maintain strict confidentiality and not disclose Confidential Information to unauthorized third parties
  • Use Confidential Information solely for the purpose for which it was disclosed
  • Protect Confidential Information with at least the same degree of care as you protect your own confidential information
  • Limit access to Confidential Information to employees and advisors with a legitimate need to know
  • Return or destroy Confidential Information upon request or termination of access

These confidentiality obligations survive termination of your access to the Services and continue for a period of five (5) years, unless superseded by a separate written confidentiality agreement.

Note: In the event of a conflict between these Terms and a separate NDA or commercial agreement, the separate agreement will govern.

Disclaimers and Limitation of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the maximum extent permitted by applicable law, Syntra disclaims all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, completeness, or timeliness of Content
  • Warranties that the Services will be uninterrupted, secure, or error-free
  • Warranties regarding results obtained from use of the Services

7.1 No Professional Advice

Content provided through the Services, including technical overviews, project descriptions, financial information, and investor materials, is for general informational purposes only and does not constitute:

  • Investment, financial, or securities advice
  • Engineering, technical, or professional consulting services
  • Legal, tax, or accounting advice
  • Offers, solicitations, or recommendations to buy or sell securities

You should consult qualified professionals before making any investment, technical, or business decisions based on information obtained through the Services.

7.2 Forward-Looking Statements

The Services may contain forward-looking statements regarding future events, projections, capacity expansion, technology development, and business plans. These statements are subject to risks, uncertainties, and assumptions and should not be relied upon as guarantees of future performance. Actual results may differ materially from projections.

7.3 Third-Party Content and Links

The Services may contain links to third-party websites or reference third-party information. We do not endorse, control, or assume responsibility for third-party content, and you access such content at your own risk.

Limitation of Liability

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall Syntra Refining Corp., its affiliates, officers, directors, employees, agents, or licensors be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or loss of goodwill
  • Cost of procurement of substitute services

Arising from or related to your use of or inability to use the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Syntra has been advised of the possibility of such damages.

8.1 Cap on Liability

To the extent permitted by law, Syntra's total aggregate liability for all claims arising from or related to the Services shall not exceed the greater of (a) $100 CAD or (b) the amount you paid to Syntra in the twelve (12) months preceding the event giving rise to liability.

8.2 Exceptions

The limitations in this section do not apply to:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Gross negligence or willful misconduct
  • Any other liability that cannot be excluded or limited under applicable law

8.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Syntra Refining Corp., its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys' fees), arising from or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms or applicable laws
  • Your User Content or any content you submit
  • Your violation of any third-party rights, including intellectual property, privacy, or confidentiality rights
  • Your breach of any separate agreements, including NDAs or commercial contracts

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

Term and Termination

10.1 Term

These Terms are effective when you first access or use the Services and continue until terminated in accordance with this section.

10.2 Termination by You

You may terminate these Terms at any time by discontinuing use of the Services and, if applicable, closing your account.

10.3 Termination by Syntra

We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, for any reason, including:

  • Violation of these Terms or any separate agreements
  • Suspected fraud, security concerns, or illegal activity
  • Prolonged inactivity
  • Business or operational reasons
  • At our sole discretion

10.4 Effect of Termination

Upon termination:

  • Your right to access and use the Services immediately ceases
  • You must cease all use of our Content and Confidential Information
  • You must return or destroy Confidential Information in your possession
  • Sections of these Terms that by their nature should survive (including confidentiality, intellectual property, disclaimers, and limitation of liability) will continue to apply

Dispute Resolution and Governing Law

11.1 Governing Law

These Terms and any disputes arising from or related to the Services shall be governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

11.2 Jurisdiction and Venue

You irrevocably submit to the exclusive jurisdiction of the courts located in Halifax, Nova Scotia, Canada, for the resolution of any disputes arising from or related to these Terms or the Services. You waive any objection to venue or inconvenient forum.

11.3 Informal Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation. Either party may initiate negotiations by providing written notice to the other party describing the dispute in reasonable detail.

11.4 Injunctive Relief

Notwithstanding any other provision, Syntra may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of our intellectual property rights or confidential information.

11.5 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

General Provisions

12.1 Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Services and updating the "Last Revised" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

12.2 Entire Agreement

These Terms, together with our Privacy Policy and any separate agreements you have entered into with Syntra, constitute the entire agreement between you and Syntra regarding the Services and supersede all prior agreements and understandings, whether written or oral.

12.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

12.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Syntra.

12.5 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign these Terms without restriction. Any attempted assignment in violation of this section is void.

12.6 No Third-Party Beneficiaries

These Terms are for the benefit of and enforceable by Syntra and you only, and do not create any third-party beneficiary rights.

12.7 Force Majeure

Syntra shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party services or infrastructure.
